Welcome to Multilatin 305, LLC. These Terms of Service ("Terms") govern all commercial transactions, order placements, product deliveries, and wholesale account relationships between Multilatin 305, LLC ("Company", "we", "our") and wholesale partners, commercial buyers, and institutional clients ("Client", "you").
1. Wholesale Account Onboarding & Qualification
All wholesale purchases require an approved Commercial Wholesale Account. Account qualification is contingent upon verification of valid state business tax documentation, active reseller licenses, and commercial credit references where applicable.
2. Order Minimums & Production Lead Times
To maintain our strict artisanal quality standards and temperature-controlled logistics:
- Direct Delivery Minimum: Orders for direct refrigerated delivery within Florida require a minimum purchase order value of $250.00.
- Production Lead Time: Standard wholesale production orders require a minimum of 48 hours notice prior to scheduled delivery date.
- Custom Formats: Specialty packaging, pre-sliced specifications, or custom batch runs require a minimum of 5 business days advance notice.
3. Pricing, Invoicing & Payment Terms
Wholesale prices are specified in your commercial account portal or master agreement. Prices are subject to periodic review based on ingredient commodity costs.
- Payment Terms: Accounts operate on Net 30 terms upon credit approval. New accounts without established credit operate on prepaid credit card or ACH terms.
- Late Payments: Overdue invoices accrue interest at the rate of 1.5% per month (or the maximum allowed by Florida law).
4. Delivery, Receiving & Inspection
Risk of loss and product title pass to the Client upon physical delivery at the designated receiving dock or establishment entrance. Clients are required to inspect shipments upon delivery and report any shortages, transit damage, or quality claims within 24 hours of receipt.
5. Food Safety & Quality Standards
Multilatin 305 products are baked fresh without artificial preservatives. Clients agree to maintain proper food storage temperature (refrigeration/freezing as specified per product line) upon taking possession.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
